Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and SmartInvoicing ("we", "us", "our") governing your access to and use of the SmartInvoicing FBR e-invoicing platform and associated website (the "Service"). By clicking "I Agree", registering an account, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Service

SmartInvoicing is a cloud-based SaaS platform that enables Pakistani businesses to:

• Create and manage FBR-compliant e-invoices.
• Submit invoices directly to the FBR POS API.
• Generate and download professional PDF invoices.
• Manage buyers, products, and transaction records.

The Service is provided on an "as is" basis and may be updated, modified, or discontinued at our discretion with reasonable notice.

3. Account Registration

To access the Service you must register and create an account. You agree to:

• Provide accurate, complete, and current information during registration.
• Maintain and promptly update your account information.
• Keep your password confidential and not share account access with unauthorised persons.
• Notify us immediately of any unauthorised use of your account.
• Be responsible for all activities conducted under your account.

You must be at least 18 years old and authorised to act on behalf of the registered business to create an account.

4. Subscription & Payment

4.1 Pricing

The Service is offered at a flat annual subscription of PKR 20,000. This covers unlimited invoice creation and FBR submissions. There are no per-invoice fees.

4.2 Billing

Subscriptions are billed annually. Payment terms and methods will be communicated at the time of account activation. Invoices are due within the period specified in your activation notice.

4.3 Refunds

Annual subscription fees are non-refundable once the account has been activated, except where required by applicable law. If you believe you have been charged in error, contact us within 14 days of the charge.

4.4 Price Changes

We reserve the right to change subscription pricing. Any price change will be communicated at least 30 days before it takes effect and will apply from your next renewal date.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Submit false, fraudulent, or fabricated invoice data to FBR.
• Use the Service to facilitate tax evasion or any illegal activity.
• Attempt to gain unauthorised access to the platform, servers, or other users' data.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell or sublicense access to the Service without our written permission.
• Introduce malware, viruses, or any disruptive code into the Service.

Violation of acceptable use may result in immediate account suspension without refund.

6. FBR Compliance Obligations

You are solely responsible for ensuring that the invoice data you enter into the Service is accurate, complete, and compliant with applicable FBR regulations. SmartInvoicing facilitates submission to FBR but does not audit, verify, or validate the correctness of your business transactions or tax obligations.

Any penalties, fines, or legal consequences arising from incorrect or fraudulent FBR submissions made through the Service are your sole responsibility.

You must provide valid FBR credentials (POS ID, API token) for the integration to function. Keeping these credentials secure and current is your responsibility.

7. Data Ownership

You retain full ownership of all data you upload or create through the Service, including invoice records, buyer information, and business data. By using the Service you grant us a limited, non-exclusive licence to process and store this data solely for the purpose of providing the Service.

We do not claim any ownership over your business data and will not use it for purposes beyond operating the Service as described in our Privacy Policy.

8. Intellectual Property

The SmartInvoicing platform, including its software, design, branding, logos, and documentation, is owned by SmartInvoicing and protected by applicable intellectual property laws. You are granted a limited, non-transferable, non-exclusive licence to use the Service for your internal business purposes only.

You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure.
• FBR's API will always be available or accept submissions.
• The Service will meet all of your specific business requirements.

Any downtime caused by FBR API outages, third-party infrastructure failures, or scheduled maintenance is outside our control.

10. Limitation of Liability

To the maximum extent permitted by Pakistani law, SmartInvoicing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service — including FBR penalties, lost profits, data loss, or business interruption.

Our total liability to you for any claim arising under these Terms shall not exceed the subscription fees you paid in the 12 months preceding the claim, up to a maximum of PKR 20,000.

11. Termination

Either party may terminate the subscription at the end of the current billing period. We may suspend or terminate your account with immediate effect if you:

• Breach these Terms and fail to remedy the breach within 7 days of notice.
• Engage in fraudulent, illegal, or abusive use of the Service.
• Fail to pay subscription fees by the due date.

Upon termination, your access to the platform will be revoked. You may request an export of your invoice data within 30 days of termination, after which it may be deleted.

12. Governing Law

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan.

13. Changes to Terms

We may revise these Terms at any time. Material changes will be notified to registered users via email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. The most current version will always be available at this URL.
